Estimates only. Our stock option tax calculator and other financial tools produce estimates based on the inputs you provide and current tax parameters. Actual results may differ.
Federal and state taxes. Our calculator includes federal tax calculations based on the Internal Revenue Code as amended by the One Big Beautiful Bill Act (OBBBA, signed July 4, 2025). State tax calculations use simplified rate approximations and may not account for all state-specific deductions, credits, or local taxes.
AMT calculations. Alternative Minimum Tax estimates are based on the information you provide. Your actual AMT liability depends on your complete tax situation including other AMT preference items not captured by the calculator.
QSBS eligibility. Section 1202 (Qualified Small Business Stock) eligibility assessments are preliminary. Actual eligibility depends on factors including the company's gross assets at the time of issuance, active trade or business requirements, and holding period verification — which require review of company records.
Tax law changes. Tax parameters are updated based on IRS Revenue Procedures. Between updates, new legislation or IRS guidance may affect the accuracy of calculations. We aim to update within 30 days of any material change.
Not a bank. Optioning is not a bank, credit union, or licensed lender. Financing is provided through prepaid variable forward contracts (PVFCs) and non-recourse arrangements structured as alternative financial products.
Non-binding quotes. Any indicative quote, rate, or term displayed on this website or provided during the application process is preliminary and non-binding. Final terms are subject to underwriting review, due diligence, and execution of definitive legal agreements.
Non-recourse terms. Our financing products are structured as non-recourse, meaning your repayment obligation is limited to the proceeds from the underlying equity. If the company fails or the equity becomes worthless, you owe nothing. Specific non-recourse provisions are detailed in each deal's definitive agreements.
Tax implications of financing. Stock option financing may have tax consequences including but not limited to: constructive sale treatment, recognition of ordinary income or capital gains, and loss of ISO favorable treatment depending on the financing structure. Consult a tax advisor before proceeding.
Approval not guaranteed. Submitting an application does not guarantee approval. All applications are subject to review based on the company's financial profile, the employee's equity position, and other risk factors.
All data is encrypted in transit using TLS 1.3 and at rest using AES-256 encryption. Our infrastructure is hosted on SOC 2 compliant providers. Application documents are stored securely and access is limited to authorized personnel involved in your application review.
