These Terms of Service ("Terms") govern your access to and use of the Optioning website, calculators, and services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.

By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use our Services. We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.
2. Description of Services
Optioning provides:
- Educational tools: stock option tax calculators, educational articles, and glossary content.
- Financing platform: the ability to apply for non-recourse stock option financing, subject to approval and underwriting.
- Account features: application tracking, document management, and communication tools for users who create an account.
3. Calculator Disclaimer
Our tax calculators and financial tools are provided for informational and educational purposes only. Calculator results are estimates and should not be relied upon for tax filing, financial planning, or legal decisions. Actual tax obligations may differ based on your complete financial situation, local regulations, and tax law changes.
Optioning does not provide tax, legal, or investment advice. You should consult with a qualified tax professional, attorney, or financial advisor before making decisions about exercising stock options.
4. Account Registration
To use certain features, you may need to create an account. You agree to:
- Provide accurate and complete information
- Keep your login credentials secure
- Notify us immediately of unauthorized access to your account
- Accept responsibility for all activity under your account
5. Financing Applications
Submitting a financing application does not guarantee approval. All financing is subject to underwriting review, due diligence, and execution of definitive agreements. The terms presented in any indicative quote or term sheet are non-binding until a definitive agreement is signed by all parties.
6. Intellectual Property
All content, tools, calculators, branding, and software on our platform are owned by Optioning or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
7. User Content
By uploading documents or submitting information through our Services, you grant us a limited license to use that content solely for the purpose of providing our Services (e.g., evaluating your financing application). We will not share your documents except as described in our Privacy Policy.
8. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose
- Submit false or misleading information in applications
- Attempt to access systems or data you are not authorized to access
- Interfere with or disrupt the Services
- Scrape, crawl, or use automated tools to extract data without permission
- Reverse-engineer any part of our platform
9. Limitation of Liability
To the maximum extent permitted by law, Optioning shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to losses from reliance on calculator results or financing decisions.
Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Optioning and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. You may stop using the Services and close your account at any time.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
